Professional & Ethical Commitment FINWISDOM FINANCIAL SERVICES PVT LTD (ARN-367223) is a SEBI-regulated, AMFI-registered Mutual Fund Distributor. We are committed to conducting our business in strict accordance with the AMFI Code of Conduct for Mutual Fund Intermediaries at all times. The following 10 principles form the foundation of our professional practice and our fiduciary commitment to every investor we serve.
Regulatory Basis: This Code of Conduct is prepared in accordance with the AMFI Master Circular for MFDs (January 2026), SEBI Master Circular for Mutual Funds, and AMFI ARN Circular 22a (Revised Code of Conduct for Intermediaries).

Our 10 Ethical Commitments — AMFI Code of Conduct

Principle 01

Integrity & Ethical Conduct

We maintain the highest standards of personal and professional ethics in all dealings with investors, Asset Management Companies (AMCs), Registrar & Transfer Agents (RTAs), and regulatory authorities.
Standard: Zero tolerance for deceptive, fraudulent, or manipulative practices. All investor communications are honest, factual, and complete.
Principle 02

No Splitting of Investor Applications

We never split investor applications across dates, schemes, or transaction amounts to artificially inflate transaction charges, upfront fees, or commission income.
Standard: Application splitting is a severe regulatory violation under AMFI guidelines. Every transaction is processed as a unified single entry.
Principle 03

Accurate KYC & Documentation

All investor personal details, KYC credentials, bank proofs, and transaction mandates are completed accurately and under direct investor supervision.
Standard: Blank or pre-signed application forms are strictly prohibited. Document tampering or forged submissions are never tolerated.
Principle 04

Valid NISM Certification & EUIN

All advisory and transaction personnel hold valid NISM Series V-A certifications and Employee Unique Identification Numbers (EUINs) registered with AMFI.
Standard: Every transaction carries a valid EUIN. Uncertified personnel are barred from interacting with investors or processing folios.
Principle 05

KYD (Know Your Distributor) Compliance

We maintain active compliance with AMFI's Know Your Distributor (KYD) norms. ARN registration credentials, authorized personnel, and office addresses are verified promptly.
Standard: ARN renewals and biometric/document verifications are completed well in advance of statutory expiry dates.
Principle 06

Zero Mis-Selling & Suitability First

We never mis-sell, conceal risk factors, or misrepresent historical returns of any Mutual Fund scheme. Investor welfare always takes precedence over commercial interests.
Standard: Scheme suggestions are driven exclusively by documented investor risk profiles, investment horizons, and financial goals.
Principle 07

Anti-Money Laundering (AML) Rigour

We perform thorough KYC verification and Anti-Money Laundering checks under the Prevention of Money Laundering Act, 2002 (PMLA) prior to transaction submission.
Standard: Statutory compliance with client due diligence, third-party payment bans, and 8-year record preservation mandates.
Principle 08

Full Regulatory Cooperation

We maintain proactive, full cooperation with SEBI, AMFI, AMCs, RTAs, and appellate tribunals during audits, investigations, and statutory inspections.
Standard: Complete compliance logs and audit trails are made accessible to regulators upon official requisition without delay.
Principle 09

Commission Clawback Adherence

We promptly refund trailing or payout commissions to AMCs in all statutory clawback scenarios (e.g. premature redemptions within clawback windows).
Standard: We maintain complete transaction reconciliations to process clawback adjustments transparently without disputing legitimate claims.
Principle 10

Investor Education & Awareness

We actively champion financial literacy, organizing regular Investor Awareness Programmes (IAPs) to educate investors on portfolio risks, asset allocation, and compounding.
Standard: Continuous publishing of educational insights, risk awareness briefs, and transparent SID/KIM reading guidance.

Practices We Strictly Prohibit

  • Splitting investor transactions to earn higher transaction fees or commissions
  • Recommending schemes based on distributor commission payout rates instead of investor suitability
  • Mis-selling, misrepresenting projected returns, or concealing downside market risks
  • Accepting or soliciting luxury gifts, sponsored foreign travel, or contest perks from AMCs
  • Processing investor transactions through uncertified staff without valid NISM / EUIN credentials
  • Sharing investor personal data, folio numbers, or phone numbers with third parties without written consent
  • Accepting signed blank application forms, blank cheques, or blanket power of attorneys

Statutory Expectations from Every AMFI Registered MFD

Act in Best Interest

Always prioritize client welfare over intermediary payout incentives.

Full Transparency

Disclose all trail commissions, scheme expense ratios, and potential conflicts.

Suitability Assessment

Analyze investor risk capacity and horizon before recommending any fund.

Periodic Review

Review portfolio asset allocations and recommend disciplined rebalancing.

Prompt Redressal

Resolve investor grievances fairly within the 15-day statutory window.

8-Year Record Retention

Safely preserve all KYC, transaction mandates, and audit trails for 8+ years.

Regulatory Upgrades

Implement all SEBI and AMFI circulars within mandated effective dates.

NISM Skill Renewal

Continuously upgrade market knowledge and maintain active NISM credentials.
